WFOE Registration in Vietnam (IRC & BRC/ERC Application)

Service Scope:

• Foreign investment market-entry review

• Business line and ownership eligibility check

• Investment structure, charter capital, legal representative and address planning

• Preparation of investor documents, notarization, legalization and Vietnamese translation

• Application for Investment Registration Certificate (IRC)

• Application for Business/Enterprise Registration Certificate (BRC/ERC)

• Post-incorporation support: company seal, tax registration, bank account, direct investment capital account, e-invoice and accounting setup

• Special license support where required

Process:

1. Confirm business activities and foreign ownership eligibility.

2. Design company structure, capital and registered address.

3. Prepare and legalize investor documents.

4. Submit IRC application.

5. Submit BRC/ERC application after IRC approval.

6. Complete seal, tax, bank and capital account setup.

7. Inject registered capital within the required timeline.

8. Apply for sector-specific licenses if applicable.
