Vietnam Direct Investment Capital Account (DICA) Opening and Compliance Guidance

Service Scope:

• Assess whether the company is required to open a DICA

• Select suitable Vietnamese, foreign or Chinese-invested banks in Vietnam

• Plan account currency structure, such as USD, CNY, VND or other currencies

• Guide capital injection, capital increase, equity transfer payment and direct investment remittance through DICA

• Separate capital funds, operating revenue, trade payments, loan proceeds, dividends and equity transfer proceeds

• Prepare IRC, ERC, charter, shareholder resolutions, investor documents, authorization letters and KYC forms

• Handle bank KYC, UBO, AML, source of funds and group structure inquiries

• Support account maintenance for legal representative change, shareholder change, capital increase/reduction and bank review

Process:

1. Review IRC/ERC, ownership structure, registered capital and investor information.

2. Confirm whether DICA is required and which currency accounts should be opened.

3. Select bank and confirm document checklist.

4. Prepare company, shareholder, authorization and KYC documents.

5. Complete bank review and signing/verification.

6. Open DICA, operating accounts and online banking.

7. Guide offshore shareholder capital remittance.

8. Build records for capital receipt, FX conversion, payment and bank filing.
