Retained Corporate Legal Counsel for Local Commercial Disputes

Service Scope:

• Daily legal advice on corporate governance, contracts, labor, tax coordination, industrial parks, suppliers, customers, leasing, IP and compliance

• Regular review of contracts, letters, notices, resolutions, POAs, employee documents and external commitments

• Handle local disputes over payment arrears, quality, leases, labor, supplier default, customer claims, infringement and unfair competition

• Draft demand letters, default notices, termination notices, settlement agreements, lawyer letters and negotiation plans

• Manage litigation/arbitration route, including Vietnam courts, VIAC arbitration, international arbitration and external counsel

• Build internal systems for approval, contract filing, seal management, anti-bribery, data protection, employee discipline and whistleblowing

• Provide legal advice for major transactions, investments, equity changes, financing, layoffs, factory relocation and crisis events

• Provide monthly legal health check covering risk list, dispute progress, contract expiry, license renewal and improvement actions

Process:

1. Conduct legal status interview and collect document list.

2. Review company licenses, charter, templates, labor documents and historical disputes.

3. Define retainer scope, response mechanism and monthly workflow.

4. Set up contract review, dispute handling, letter approval and emergency process.

5. Organize facts and preserve evidence for ongoing local disputes.

6. Design negotiation, mediation, arbitration or litigation strategy.

7. Coordinate local lawyers, translators, accountants, tax and industry advisers.

8. Review case results and update internal compliance systems.
